PUBLIC OFFER AGREEMENT

for Rental of Entertainment Attractions
This Public Offer (the “Agreement”) is issued by Cosmoport Entertainment Ltd (the “Provider”) and constitutes a legally binding offer to any individual or legal entity (the “Client”) to rent entertainment equipment and attractions under the terms below.
By making any payment, the Client confirms full and unconditional acceptance of this Agreement.

1. Subject of the Agreement
1.1. The Provider supplies entertainment attractions (the “Equipment”) for temporary use; the Client accepts and pays for such services.
1.2. Equipment may include (non-exhaustive):
• arcade machines
• IR attractions
• VR attractions
• and other equipment

2. Booking and Payment
2.1. A booking is confirmed only upon receipt of a 50% deposit of the total rental fee.
2.2. Until the deposit is received, dates and Equipment are not reserved.
2.3. The remaining 50% must be paid no later than the agreed date of the event (unless otherwise agreed in writing).

3. Cancellation and Refunds
3.1. The deposit is non-refundable, except if:
• the Provider fails to perform; or
• force majeure / valid reasons beyond the Client’s control occur, and the Client notifies the Provider no later than 14 (fourteen) days before the rental date.
3.2. In all other cases, the deposit is retained as compensation for reserved capacity.

4. Delivery, Setup, Operation
4.1. The Provider delivers, installs, and collects the Equipment unless otherwise agreed.
4.2. The Client ensures:
• suitable and safe space;
• access to power (if required);
• safe operating conditions and crowd control.

5. Security Deposit (Refundable)
5.1. A security deposit may be required in the amount of €300–€1000 per unit (or per set), depending on Equipment type and risk profile.
5.2. The security deposit is paid before delivery and is refundable within 3–5 business days after the event, subject to inspection.
5.3. The Provider is entitled to deduct from the deposit any costs of damage, loss, excessive cleaning, or late return.
5.4. If damages exceed the deposit, the Client shall pay the difference within 5 business days upon invoice.

6. Supervision and Operator
6.1. Where Equipment is rented with an operator provided by the Provider, the Provider is responsible for correct operation of the Equipment during the agreed hours.
6.2. Where Equipment is rented without an operator, the Client assumes full responsibility for:
• proper use;
• supervision of participants (including minors);
• preventing misuse, overloading, or unsafe behavior.
6.3. The Client acknowledges that unsupervised operation significantly increases risk, and accepts full liability for any resulting damage or loss.

7. Liability and Risk
7.1. From the moment of delivery/installation, the Client bears full responsibility for the Equipment’s safety and condition, regardless of venue ownership.
7.2. The Client is liable for any damage, loss, theft, or misuse during the rental period.

8. Compensation for Damage
8.1. The Client agrees to compensate the full replacement value of the Equipment in case of destruction, loss, or irreparable damage.
8.2. Replacement value is determined by current market price (including logistics and commissioning costs).

9. Minor Damage Coverage (Optional Tariff)
9.1. If a tariff including minor damage coverage is selected:
• minor cosmetic damage may be covered;
• the Client remains liable for irreparable damage or damage that makes the Equipment unusable.

10. Late Return / Retention Penalty
10.1. The rental period is strictly defined in the order/confirmation.
10.2. In case of delay in return or obstruction of collection, the Client shall pay:
• €100–€1000 per hour per unit (depending on Equipment) for delay; or
• a full additional rental day if the delay exceeds 3 hours.
10.3. Additional logistics (extra trip, waiting time, staff overtime) are charged separately.

11. Limitation of Liability
11.1. To the maximum extent permitted by law, the Provider’s liability is limited to the amount paid by the Client for the specific rental.
11.2. The Provider is not liable for:
• indirect or consequential losses (lost profits, event disruption, reputational damage);
• third-party actions at the venue;
• improper use of Equipment by the Client or attendees;
• interruptions due to venue power/network issues beyond Provider’s control.
11.3. The Client is responsible for insurance (if required) for the event and Equipment while in their custody.

12. Force Majeure
12.1. Neither party is liable for non-performance due to force majeure (including natural disasters, government restrictions, strikes, etc.).

13. Governing Law
13.1. This Agreement is governed by the laws of Cyprus.
13.2. Disputes are resolved by negotiation, failing which — by the competent courts of Cyprus.

14. Final Provisions
14.1. The Provider may amend this Agreement at any time; the current version is published on the website.
14.2. Payment constitutes acceptance of all terms.
